2. Description of Service

Yona Revenue Agent is an AI-powered marketing automation application designed for Shopify merchants. The App provides the following services:

• Abandoned cart recovery through automated email campaigns
• AI-powered email content generation and personalization
• Customer behavior analysis and segmentation
• Revenue attribution tracking and analytics
• Marketing campaign performance monitoring

The App integrates with your Shopify store to access necessary data for providing these services, as detailed in our Privacy Policy.

3. Eligibility

To use the App, you must:

• Be at least 18 years of age
• Have the legal authority to enter into these Terms on behalf of your business
• Have an active Shopify store in good standing
• Comply with all applicable laws and regulations
• Comply with Shopify's Terms of Service and Acceptable Use Policy

4. Account Registration and Security

When you install the App, you authorize us to access your Shopify store data as necessary to provide our services. You are responsible for:

• Maintaining the security of your Shopify account credentials
• All activities that occur under your account
• Ensuring your use of the App complies with all applicable laws
• Notifying us immediately of any unauthorized use of your account

5. Pricing and Payment

5.1 Subscription Plans

The App offers various subscription plans with different features and pricing. Current plans include:

• Starter Plan: Essential features including AI-powered email campaigns, abandoned cart recovery, and basic analytics
• Growth Plan: Full features including advanced AI personalization, A/B testing, priority support, and enhanced analytics

5.2 Billing

All payments are processed through Shopify's Billing API. By subscribing to a paid plan, you authorize Shopify to charge your payment method on file. Billing cycles are monthly unless otherwise specified.

5.3 Free Trial

New users may be eligible for a free trial period as specified during signup. After the trial period ends, you will be automatically charged unless you cancel before the trial ends.

5.4 Refunds

Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact our support team at support@yonamark.com. All payments are processed through Shopify's Billing API, and refund processing is subject to Shopify's policies.

6. Cancellation and Termination

6.1 Cancellation by You

You may cancel your subscription at any time by:

• Uninstalling the App from your Shopify store
• Canceling through your Shopify admin billing settings

Upon cancellation, your subscription will remain active until the end of the current billing period. After uninstall, your data will be retained for 30 days and then deleted in accordance with our Privacy Policy.

6.2 Termination by Us

We may suspend or terminate your access to the App if you:

• Violate these Terms
• Use the App for illegal purposes
• Engage in fraudulent or abusive behavior
• Fail to pay fees when due
• Violate Shopify's Terms of Service

We will provide notice of termination where possible, but reserve the right to terminate immediately in cases of serious violations.

7. Acceptable Use

You agree not to use the App to:

• Send spam, unsolicited emails, or harassing communications
• Violate any laws, including CAN-SPAM, GDPR, and CCPA
• Infringe on intellectual property rights
• Distribute malware or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with other users' use of the App
• Use the App to send prohibited content (hate speech, adult content, etc.)
• Resell or redistribute the App without authorization

8. Intellectual Property

8.1 Our Intellectual Property

The App, including all software, algorithms, designs, logos, and content, is owned by Yona Revenue Agent and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App during your subscription period.

8.2 Your Content

You retain ownership of your store data and content. By using the App, you grant us a license to:

• Access and process your data as necessary to provide the service
• Use anonymized, aggregated data to improve our AI models
• Generate AI content based on your brand tone and preferences

This license terminates when you uninstall the App, except for anonymized data used for model improvement.

9. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our collection and use of data as described in the Privacy Policy.

You are responsible for:

• Obtaining necessary consents from your customers for email marketing
• Complying with data protection laws applicable to your business
• Maintaining accurate privacy policies on your store
• Honoring customer requests regarding their data

10. AI-Generated Content

The App uses artificial intelligence to generate email content and marketing materials:

• You are responsible for reviewing and approving all AI-generated content before sending
• We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content
• You retain full responsibility for content sent to your customers
• AI-generated content should not be considered legal, financial, or professional advice

11. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the App will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy or reliability of results
• Warranties that defects will be corrected

We do not guarantee specific revenue increases, conversion rates, or business results from using the App.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YONA REVENUE AGENT SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your inability to use the App
• Damages arising from unauthorized access to your data
• Any damages exceeding the amount you paid to us in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Yona Revenue Agent and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Content you send through the App
• Your failure to comply with applicable laws

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the App after such changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Guangdong Province, the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Guangdong Province, the People's Republic of China.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yona Revenue Agent regarding the use of the App and supersede all prior agreements and understandings.

As a Shopify Partner, we adhere to the Shopify Partner Program Agreement and all applicable Shopify policies, including the API Terms of Use. In the event of any conflict between these Terms and Shopify's terms, Shopify's terms shall prevail with respect to matters related to the Shopify platform.
